1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Baseflow ("Company," "we," "us," or "our") concerning your access to and use of the Baseflow platform and services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Services.

2. Description of Services

Baseflow provides a contract lifecycle management platform that enables users to:

  • Create, edit, and manage contracts and legal documents.
  • Use electronic signatures for document execution.
  • Store and organize contract documents securely.
  • Collaborate with team members and external parties.
  • Track contract status, deadlines, and renewals.
  • Generate reports and analytics on contract data.
  • Integrate with third-party applications and services.

3. Account Registration

3.1 Account Creation

To access certain features of the Services, you must register for an account. When registering, you agree to provide accurate, current, and complete information and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other breach of security.

3.3 Account Types

We offer different account types and subscription plans with varying features and limitations. The specific terms of your subscription will be provided at the time of purchase or upgrade.

4. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable laws, regulations, or third-party rights.
  • Upload, transmit, or distribute any content that is unlawful, defamatory, or fraudulent.
  • Interfere with or disrupt the integrity or performance of the Services.
  • Attempt to gain unauthorized access to any systems or networks.
  • Use the Services for any illegal or unauthorized purpose.
  • Transmit any viruses, malware, or other harmful code.
  • Engage in any activity that could damage, disable, or impair the Services.
  • Harvest or collect user information without consent.
  • Impersonate any person or entity or misrepresent your affiliation.

5. Electronic Signatures

5.1 Legal Validity

Electronic signatures created through our Services are intended to be legally binding and enforceable under applicable electronic signature laws, including the Nigerian Evidence Act, the ECOWAS Supplementary Act on Electronic Transactions, and other applicable regulations.

5.2 Your Responsibility

You are responsible for ensuring that electronic signatures are appropriate for your specific use case and jurisdiction. Some documents may require wet-ink signatures or notarization under applicable law.

5.3 Consent

By using electronic signatures through our Services, you consent to conducting transactions electronically and acknowledge that electronic signatures have the same legal effect as handwritten signatures.

6. User Content

6.1 Ownership

You retain all ownership rights in the content you upload, submit, or create through the Services ("User Content"). Baseflow does not claim ownership of your User Content.

6.2 License Grant

By uploading User Content, you grant Baseflow a worldwide, non-exclusive, royalty-free license to use, store, process, and display your User Content solely for the purpose of providing the Services to you.

6.3 Responsibility

You are solely responsible for your User Content and represent that you have all necessary rights to upload and share such content through the Services.

7. Subscription and Payment

7.1 Fees

Certain features of the Services require payment of fees. You agree to pay all applicable fees as described on our pricing page or in your subscription agreement.

7.2 Billing

We will bill you in advance on a recurring basis (monthly or annually) based on your chosen subscription plan. Your subscription will automatically renew unless you cancel before the renewal date.

7.3 Price Changes

We reserve the right to modify our prices. We will provide notice of any price changes at least 30 days before they take effect. Continued use of the Services after price changes constitutes acceptance of the new prices.

7.4 Refunds

Fees are generally non-refundable except as required by law or as explicitly stated in your subscription agreement. You may cancel your subscription at any time, but you will not receive a refund for any remaining subscription period.

8. Intellectual Property

8.1 Our Rights

The Services and all content, features, and functionality (excluding User Content) are owned by Baseflow and are protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Services.

8.2 Feedback

If you provide feedback, suggestions, or ideas about the Services, you grant us the right to use such feedback without any obligation to you.

9. Third-Party Services

The Services may integrate with or contain links to third-party services. We are not responsible for the content, privacy policies, or practices of third-party services. Your use of third-party services is at your own risk.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DO NOT WARRANT THE ACCURACY OR COMPLETENESS OF ANY INFORMATION PROVIDED THROUGH THE SERVICES.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BASEFLOW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Baseflow and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Services, your User Content, or your violation of these Terms.

13. Termination

13.1 By You

You may terminate your account at any time by contacting us or using the account settings in the Services.

13.2 By Us

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Reasons for termination may include violation of these Terms, fraudulent activity, or extended periods of inactivity.

13.3 Effect of Termination

Upon termination, your right to use the Services will immediately cease. You may request export of your data within 30 days of termination. After this period, we may delete your data in accordance with our data retention policies.

14. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

Any disputes arising under these Terms shall be resolved through binding arbitration in Lagos, Nigeria, except that either party may seek injunctive relief in any court of competent jurisdiction.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after such changes constitutes acceptance of the updated Terms.

16. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and Baseflow regarding the Services.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
  • Waiver: Our failure to enforce any right or provision shall not constitute a waiver.
  • Assignment: You may not assign your rights under these Terms without our prior written consent.
